Terms of Service

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company, you represent that you have authority to bind that organization, and "you" refers to that organization.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate registration information and notify us promptly of unauthorized access at hello@cronate.com.

Cronate provides tools for email campaigns, WhatsApp messaging, website chat, CRM contacts, and automation flows. Features may change during beta or early access. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.

You retain ownership of content and customer data you submit to the Service ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service, comply with law, and enforce these Terms.

You are solely responsible for Customer Data and for obtaining all necessary consents, permissions, and legal bases to collect and message your contacts - including compliance with email marketing laws (e.g. CAN-SPAM, GDPR), WhatsApp/Meta policies, and anti-spam regulations.

You agree not to:

• Send unsolicited or unlawful messages (spam, harassment, fraud)
• Upload malware, attempt unauthorized access, or disrupt the Service
• Use the Service for illegal activity or to infringe others' rights
• Reverse engineer or resell the Service except as expressly permitted
• Violate third-party platform terms (e.g. Meta/WhatsApp Business policies)

We may suspend or terminate accounts that violate these rules or pose risk to the platform or other users.

The Service integrates with third parties (e.g. email providers, Meta/WhatsApp, payment processors). Your use of those services is subject to their terms. We are not responsible for third-party products or outages outside our reasonable control.

Paid plans, trials, and billing terms are described on our pricing page or order form. Unless stated otherwise, subscriptions renew automatically until cancelled. Fees are non-refundable except where required by law or explicitly stated in your plan terms.

Features labeled beta, early access, or waitlist may be incomplete or change without notice. Waitlist signup does not guarantee access or pricing. We may invite users at our discretion.

Cronate and its branding, software, and documentation are owned by us or our licensors. These Terms do not grant you any rights to our trademarks or proprietary technology except the limited right to use the Service as permitted here.

Each party may receive non-public information from the other. You agree to protect our confidential information; we will treat your non-public business data in accordance with our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRONATE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) USD $100.

You will defend and indemnify Cronate against claims arising from your Customer Data, messaging practices, or breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, or extended inactivity. Upon termination, your right to use the Service ends; we may delete workspace data after a reasonable retention period unless law requires otherwise.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction, unless mandatory consumer protection laws in your country require otherwise.

We may update these Terms. Continued use after the effective date constitutes acceptance. If we make material changes, we will provide notice by email or through the Service.
